Terms of Service for GetProSpace, Inc.

1. Acceptance of Terms

These Terms govern your use of the Platform, including all features, services, and content provided therein. We may update these Terms from time to time, and the updated version will be posted on getprospace.com with a revised "Last Updated" date. Your continued use of the Platform after such updates constitutes acceptance of the revised Terms. We will notify you of material changes via email or a Platform announcement.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

3. Account Registration and Security

• Registration: To access certain features, you must create an account by providing accurate, current, and complete information. You agree to update your account information as needed to maintain its accuracy.
• Security: You are responsible for maintaining the confidentiality of your account credentials (e.g., username, password). Two-factor authentication (2FA) will be enforced for all users starting March 15, 2025, requiring an additional verification step via an authenticator app (e.g., Google Authenticator). You must notify us immediately at support@getprospace.com of any unauthorized use of your account.
• Responsibility: You are liable for all activities conducted through your account, whether authorized by you or not, unless you promptly report unauthorized access.

4. Use of the Platform

• Permitted Use: You may use the Platform to manage clients, jobs, contracts, billing, accounting, and related activities as intended by its features. Professionals may invite clients to link accounts, and clients may access their dashboards to interact with services.
• Prohibited Activities: You may not:
  • Use the Platform for illegal purposes or in violation of applicable laws.
  • Attempt to gain unauthorized access to the Platform, its systems, or other users’ accounts.
  • Upload, transmit, or distribute harmful content (e.g., viruses, malware) or content that infringes on others’ rights.
  • Reverse engineer, decompile, or otherwise attempt to derive the Platform’s source code.
  • Interfere with the Platform’s operation or other users’ enjoyment of it.

5. Third-Party Integrations

The Platform integrates with third-party services, including Plaid for bank account linking and transaction syncing, and Stripe for payment processing. Your use of these services is subject to their respective terms and policies. We are not responsible for the performance, availability, or policies of these third parties.

6. Intellectual Property

• Ownership: All content, trademarks, and intellectual property on the Platform (e.g., design, text, software) are owned by GetProSpace or its licensors and protected by U.S. and international copyright laws.
• License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purposes, subject to these Terms.
• User Content: You retain ownership of content you upload (e.g., photos, contracts), but grant us a worldwide, royalty-free license to use, store, and display it as necessary to provide the Platform’s services.

7. Fees and Payments

• Subscription Fees: Certain features may require payment of subscription fees, detailed at signup or in your account settings. Fees are non-refundable except as required by law.
• Payment Processing: Payments for invoices or subscriptions are processed via Stripe. You agree to provide accurate payment information and authorize recurring charges where applicable.
• Taxes: You are responsible for any applicable taxes arising from your use of the Platform.

8. Data Retention and Privacy

• Data Retention: We retain your data as outlined in our Data Retention Policy, including a one-year limit on Plaid-related financial data unless reauthorized, and seven years for billing and accounting records.
• Privacy: Your use of the Platform is also governed by our Privacy Policy, which details how we collect, use, and protect your personal information.

9. Termination

• By You: You may terminate your account at any time by contacting support@getprospace.com. Data will be retained per our Data Retention Policy.
• By Us: We may suspend or terminate your access to the Platform, with or without notice, for violations of these Terms, legal requirements, or to protect the Platform or other users.
• Effect of Termination: Upon termination, your license to use the Platform ends, but provisions regarding intellectual property, liability, and governing law survive.

10. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the Platform will be uninterrupted, error-free, or free of security threats, though we employ robust security measures (e.g., encryption, daily scans, upcoming 2FA).

11. Limitation of Liability

To the fullest extent permitted by law, GetProSpace, its officers, directors, employees, and agents will not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including loss of data, profits, or business opportunities. Our total liability, if any, will not exceed the fees you paid us in the prior 12 months.

12. Indemnification

You agree to indemnify and hold harmless GetProSpace from any claims, damages, or losses arising from your violation of these Terms, misuse of the Platform, or infringement of third-party rights.

13. Governing Law and Dispute Resolution

• Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
• Dispute Resolution: Any disputes arising under these Terms will be resolved through binding arbitration in Delaware, conducted under the rules of the American Arbitration Association (AAA), except for small claims, which may be filed in a Delaware court. You waive any right to a jury trial or class action.

14. Miscellaneous

• Entire Agreement: These Terms, along with our Privacy Policy and Data Retention Policy, constitute the entire agreement between you and GetProSpace.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Assignment: You may not assign these Terms without our consent; we may assign them in connection with a business transaction (e.g., merger).
• Force Majeure: We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, cyberattacks).
