About these Terms

These Terms of Service govern your access to and use of GetProSpace, including our public website, web application, client portals, mobile app or mobile web experience, invite and public action links, contractor websites published through the platform, and related services. GetProSpace is software designed to help contractors and other professionals manage clients, jobs, contracts, billing, photos, finances, teams, subcontractors, and business operations. It is not a law firm, accounting firm, tax preparer, payments processor for your customer receivables unless we expressly enable that functionality, or a substitute for your own legal, accounting, tax, or compliance advice.

Acceptance and Updates

By creating an account, accessing, or using GetProSpace, you agree to these Terms and to our Privacy Policy and Data Retention Policy. We may update these Terms from time to time. If we make a material change, we may notify you in the product, by email, or both. Continued use after the effective date of an update means you accept the revised Terms.

Eligibility and Business Use

• You must be at least 18 years old and legally able to enter into binding agreements.
• You may use GetProSpace only for lawful business or professional purposes.
• You are responsible for making sure your use of the platform complies with the laws and rules that apply to your business.

Accounts, Workspaces, and Security

• You must provide accurate registration and billing information and keep it current.
• You are responsible for safeguarding sign-in links and codes, devices, and access to your account.
• You are responsible for actions taken through your account or workspace unless you promptly report unauthorized access.
• Company owners and administrators are responsible for permissions, invited users, employees, crews, subcontractors, linked client access, and public or token-based links shared from their workspace.

Subscriptions, Trials, Billing, and Cancellation

• Certain features require a paid subscription.
• Plan names, plan features, and plan availability may change over time. Some features may be limited to certain plans shown at signup, checkout, or in billing settings.
• Pricing, billing frequency, and any trial terms are presented at signup, onboarding, checkout, or in your billing settings.
• If a free trial is offered, it ends at the end of the trial period unless you have subscribed.
• Subscriptions renew automatically until canceled.
• You can cancel from your billing settings or by contacting support. If you cancel, your subscription generally remains active through the end of the current paid billing period unless stated otherwise.
• Upgrades may take effect immediately, while downgrades may be scheduled for the next billing period where shown in the product.
• Except where required by law, fees already paid are non-refundable.
• You are responsible for applicable taxes, duties, and similar governmental charges related to your subscription.

Third-Party Services

GetProSpace uses and integrates with third-party providers, including Stripe for GetProSpace subscription billing and stored payment methods; Google for optional sign-in, mobile subscription workflows where available, and Google Maps for address search, maps, and drive times; Plaid for optional financial account connections and transaction syncing; Twilio for business phone lines, texts, and calls; Mailgun for email; Cloudflare for file storage; and Anthropic for AI-powered features. Your use of those providers may also be subject to their own terms and privacy practices. By connecting a financial account through Plaid, you are also agreeing to Plaid's End User Privacy Policy available at plaid.com/legal. We are not responsible for the independent acts or omissions of third-party services.

Public Testing Notice

GetProSpace is currently offered in a public testing phase. During this period, parts of the service may be in active development and may change without advance notice.

• Some features referenced in the service may be unavailable, limited, or still being prepared.
• We may modify, replace, pause, or remove features, workflows, or integrations during testing.
• You acknowledge that testing-phase behavior may include bugs, interruptions, incomplete functionality, or compatibility issues.

Invited Users, Clients, Employees, and Subcontractors

GetProSpace supports workflows where company owners or authorized users invite clients, employees, subcontractors, or other collaborators. If you invite another person, you are responsible for having the authority to share the relevant records with them. Invited users may see information, files, messages, job details, billing documents, photos, and other records that are made available through their role, invitation, portal, workstation, or link.

Your Content and Client Relationships

• You retain ownership of the information and files you upload or create in GetProSpace, including photos, contracts, invoices, notes, client records, and any website content you publish through the platform.
• You grant us a limited, non-exclusive right to host, store, process, reproduce, and display that content as needed to operate, secure, maintain, and improve the service, including serving your published contractor website to the public.
• You are responsible for the accuracy, legality, permissions, and business use of the content you upload, send, share, or publish through the platform, including AI-generated content that you choose to use or publish.
• You are responsible for your own contracts, invoices, estimates, taxes, customer communications, regulatory compliance, and recordkeeping decisions.

Contractor Website and Domain Services

GetProSpace offers tools to build and publish a public contractor website, including AI-assisted content generation and the option to connect your own domain. The following terms apply to these features.

AI-Generated Content

• The website builder uses AI technology (Anthropic's Claude models) to help you generate website content, including text, structure, and layout, based on information you provide about your business. Other AI features, such as photo captions and call notes, work the same way and stay off until a company owner turns them on.
• AI-generated content is produced automatically and may contain inaccuracies, omissions, or statements that do not accurately reflect your business. You are solely responsible for reviewing, editing, and approving all content before using or publishing it.
• GetProSpace makes no warranty that AI-generated content is accurate, complete, appropriate for your business, or compliant with applicable law or professional standards. We are not responsible for the content of websites you publish.
• Your planning chat messages and style inputs are stored for your workspace. See our Privacy Policy for details.

Published Websites and Subdomains

• When you publish your website, it becomes publicly accessible. Any person with the link can view it.
• Each workspace is assigned a subdomain of GetProSpace for hosting your contractor website. Subdomain assignments are subject to availability and may be changed or revoked if misused or if the account is closed.
• You are responsible for all content published on your website, including the accuracy of business information, licensing representations, testimonials, images, and any other content you choose to include or retain from AI generation.
• You may not use the website feature to publish content that violates these Terms, applicable law, or the rights of third parties.

Bring Your Own Domain

• You may connect a domain you own and manage at a third-party registrar by updating DNS settings to point to GetProSpace servers and proving that you control it.
• You are solely responsible for maintaining your domain registration, DNS configuration, and compliance with your registrar's terms. GetProSpace is not responsible for domain expiration, misconfiguration, or loss.

Contracts and Electronic Signatures

GetProSpace provides contract delivery, signing, storage, and tracking tools only. All contract content, including contract templates saved in your workspace, is created, selected, reviewed, and used solely by you or your authorized users. GetProSpace does not review, approve, or warrant the legal sufficiency, enforceability, or compliance of any contract created, sent, signed, rejected, or stored through the platform.

If you use electronic signature features, you are responsible for confirming that electronic records, signatures, consent, signer authority, delivery methods, retention, and copies meet the requirements that apply to your business, your client, the contract, and the relevant jurisdiction.

Acceptable Use

You may not:

• Use GetProSpace in violation of law, regulation, or third-party rights.
• Upload malware, malicious code, unlawful content, or infringing material.
• Attempt to access accounts, systems, or data without authorization.
• Interfere with platform performance, security, or the experience of other users.
• Reverse engineer, scrape at scale, or use automated means to copy or exploit the service outside allowed use.
• Misrepresent your identity, your company, or your authority to act for another person or business.
• Publish website content that is false, misleading, defamatory, infringing, or otherwise unlawful.
• Use AI generation tools to produce spam, deceptive content, or content intended to mislead consumers.

Service Availability and Product Changes

We may add, remove, improve, suspend, or change features at any time. We aim to keep the service available and secure, but we do not promise uninterrupted operation, permanent availability of every feature, or that every issue will be corrected on a specific timeline.

Privacy and Data Retention

Your use of GetProSpace is also governed by our Privacy Policy and Data Retention Policy, which explain how we collect, use, protect, disclose, and retain data.

Intellectual Property

GetProSpace and its licensors own the software, branding, design, visual assets, documentation, and other platform materials, except for user content. These Terms do not transfer ownership of our intellectual property to you. AI-generated content produced in response to your inputs belongs to you subject to the terms of the underlying AI providers and applicable law.

Disclaimers

GetProSpace is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, completely secure, or suitable for every workflow. We do not guarantee the legal sufficiency of contracts, the tax treatment of transactions, the accounting treatment of records, or the correctness of estimates, invoices, schedules, categorizations, reports, or other outputs created in the product. Profitability views, transaction categorizations, bank transaction matching, reports, and other financial outputs are not audited, are not intended to be GAAP-compliant financial statements, and are not a substitute for a CPA, bookkeeper, accountant, tax professional, or dedicated accounting system. AI-generated content is not reviewed or approved by GetProSpace and may contain errors, inaccuracies, or content inappropriate for your business or jurisdiction.

Limitation of Liability

To the fullest extent permitted by law, GetProSpace and its officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, loss of goodwill, business interruption, or loss of data arising out of or related to your use of the service. Our total liability for all claims relating to the service will not exceed the amount you paid us for the service during the 12 months before the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless GetProSpace from claims, liabilities, damages, losses, and expenses arising from your content, your misuse of the service, your violation of these Terms, your violation of applicable law or third-party rights, or any content you publish through your contractor website.

Suspension and Termination

• You may stop using the service at any time.
• You may request account closure by contacting support@getprospace.com. GetProSpace does not currently provide a self-serve in-app account deletion workflow.
• You may request an export of your data before account closure by contacting support@getprospace.com.
• We may suspend or terminate access if you violate these Terms, create risk for the platform or other users, fail to pay fees when due, or if we are required to do so by law.
• Termination does not eliminate payment obligations already incurred or recordkeeping and retention obligations described in our policies.

Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Except where applicable law requires otherwise, disputes arising out of these Terms or the service will be brought exclusively in the state or federal courts located in Delaware, and you consent to that jurisdiction and venue.

Miscellaneous

• These Terms, together with the Privacy Policy and Data Retention Policy, form the entire agreement between you and GetProSpace regarding the service.
• If one provision is found unenforceable, the rest remain in effect.
• You may not assign these Terms without our consent. We may assign them in connection with a merger, financing, sale of assets, or other corporate transaction.
• Our failure to enforce a provision is not a waiver of that provision.
